Terms of Service

1. Acceptance

By accessing or using Graflo ("the Service"), you agree to be bound by these Terms of Service. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Description of Service

Graflo is a SaaS platform that connects to Microsoft 365 tenants via the Microsoft Graph API and generates intelligence reports on sales organisation activity. Access to the Service is provided on a subscription basis.

3. Subscriptions and billing

Subscription fees are charged monthly in advance. Fees are non-refundable except where required by applicable law. We reserve the right to change pricing with 30 days' notice. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

4. Microsoft 365 access

By completing the Microsoft admin consent flow, you grant Graflo read-only access to your organisation's Microsoft 365 data as described in our Privacy Policy. You are responsible for ensuring that your organisation has the right to grant this access and that doing so complies with your internal policies.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to reverse engineer or extract the underlying algorithms
• Share account credentials with individuals outside your organisation
• Use the Service to process data on behalf of third parties without our written consent

6. Intellectual property

All rights in the Graflo platform, including software, designs, and documentation, remain the property of Graflo. Your data remains your property. You grant us a limited licence to process your data solely to provide the Service.

7. Limitation of liability

To the extent permitted by law, Graflo's total liability to you shall not exceed the fees paid by you in the three months prior to the claim. We are not liable for indirect, consequential, or incidental losses.

8. Service availability

We aim for high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where practicable. Enterprise customers receive SLA-backed uptime commitments.

9. Termination

Either party may terminate the subscription at any time. We may suspend or terminate your access immediately if you breach these terms or engage in conduct that may harm the Service or other users.

10. Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
